SEED/EXCEL Charter School, LLC is the limited liability corporation created for the sole purpose of operating EXCEL Academy Public Charter School located in Prince George’s County, Maryland. SEED/EXCEL is currently seeking to fill a vacancy for a Community Member At-Large. Those interested must be residents of Prince George's County, MD.

The mission of EXCEL Academy Public Charter School is to provide its students with a standards-based, college preparatory education. EXCEL Academy cultivates every student’s academic and social learning potential through a rigorous academic program, innovative instructional techniques and collaborative partnerships. The vision of EXCEL Academy is to provide quality choice in public education to a chosen, gifted generation. The supporting pillars of EXCEL Academy are Character Development, College Preparatory Support, Cultural Arts and Community Partnerships.

Authority of the Governing Board. The Governing Board will operate pursuant to its bylaws and other rules and procedures set forth in Charter School’s Application. The Governing Board agrees and understands that the decisions of the Governing Board may not violate or conflict with the policy of the operating organization, state and federal law, regulations of the State Board of Education and School Board policies and administrative procedures, unless a written waiver is provided by the State Board of Education and/or the School Board. In no event shall the Governing Board delegate its governing authority or responsibility for the performance of the Charter School to another entity.

Conflict of Interest. Members of the Governing Board of the Charter School shall comply with School Board Policy 107, “Ethics Regulation,” including the completion of an annual financial disclosure agreement.

Compensation. Members of the Governing Board of the Charter School will receive no compensation other than reimbursement of actual expenses incurred while fulfilling duties as a member of the Governing Board. The expenses of members of the Governing Board are subject to annual audit.

Notice of Membership. The Governing Board shall annually provide the Prince George’s County Public School’s Charter Office with an updated list of membership and officers, including the name, address, email and resume of any new members and officers.

Meetings and Minutes. The Governing Board shall maintain Board-policies, meeting agendas and minutes; and shall make such documents available for public inspection and shall conduct meetings consistent with the Open Meetings Law, Md. Code Ann., State Government Article §10-501.

Legal Responsibility of EXCEL Governing Board Service

● Duty of Care – Governing Board members have the duty to exercise reasonable care when he/she makes a decision as a steward of the organization.

● Duty of Loyalty – Governing Board members should give undivided allegiance when making decisions affecting the organization. Information obtained as a member should remain confidential, never be used for personal gain, but must act in the best interest of the organization.

● Duty of Obedience – Governing Board members should be faithful to the organization’s mission and not act in a way that is inconsistent with the central goals of the organization. Leadership, Governance and Oversight

● Attend all Board meetings and functions such as special events.

● Review outcomes and metrics created by Education Director and Principal for evaluating its impact, and regularly measuring its performance and effectiveness using those metrics; reviewing agenda and supporting materials prior to board meetings.

● Contribute to an annual performance assessment of the Principal.

● Assist the Education Director and Board Chair in identifying and recruiting other Governing Board Members.

● Serve on committees or task forces and taking on special assignments.

● Represent EXCEL Academy to stakeholders; acting as an ambassador for the organization.

● Ensure EXCEL’s commitment to a diverse board that reflects the communities it serves.

● Keep up-to-date on developments in the education and Charter School arenas.

● Follow conflict-of-interest and confidentiality policies.

● Refrain from making special requests of the staff (organization and school based).

Fundraising. Governing Board members will consider EXCEL Academy a philanthropic priority and make annual gifts and/or solicit sponsors that reflect that priority. So that the organization can credibly solicit contributions from foundations, organizations and individuals, SEED expects to have 100 percent of Board Members make an annual contribution of at least $250 or one that is commensurate with their capacity.

Board Terms/Participation. Governing Board Members will serve a three-year term.

Qualifications. This is an extraordinary opportunity for an individual who is passionate about the charter school’s mission and who has a track record of board leadership. Members should have extensive experience and be leaders in the fields of:

● Education (former charter school principal/official, evaluator or authorizer);

● Parent of a current charter school student;

● Community services (former or current nonprofit executive/leader);

● Philanthropist (experience in giving or serving in the targeted areas of education, or services);

● Corporate executives (senior level executives in community relations).

Members should also have:

● Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals; and

● Personal qualities of integrity, credibility and a passion for improving the lives of students of the charter school.
