The Role

We are looking for a General Counsel to join Snapcommerce’s growing team. Reporting directly to the CFO, you will be a key member of the management team and play an important role in shaping the legal, product and policy strategies for our ever-growing business. You will lead the legal and compliance functions as well as provide day-to-day guidance on legal issues and risk mitigation strategies. The General Counsel will be responsible for building out the legal department, setting legal strategy, overseeing key deals and relationships, and serving as a partner throughout the organization. 

Our ideal candidate is someone who is results-driven, execution focused and has a track record of managing and scaling the legal function in a fast-growth company. Someone who comes with a background as an attorney with strong business and strategic acumen who also has the ability to translate complex legal principles into practical and effective business solutions. Our team is looking for a leader and business partner who will take on the role of a company resource for contract related questions and processes; someone the business can rely on for your expertise, and guidance.

Challenges You'll Solve

    • Provide the leadership team with strategic legal advice across a wide range of matters encompassing all functions of a fast-growing mobile commerce business, including general corporate, corporate governance, commercial contracts, data privacy and security, intellectual property, employment, litigation and risk management.
    • Prepare the organization to be able to operate as a publicly traded company from a legal, compliance and regulatory standpoint.
    • Advise on and direct corporate legal matters relating to public company reporting and corporate governance, investor relations, M&A and equity operations.
    • Build the internal legal function to support our growing organization by developing a roadmap to scale the team and our systems and processes without hampering our ability to operate with speed.
    • Manage, draft, review and negotiate a high volume of commercial contracts across the organization.
    • Seek opportunities to improve forms, processes and systems.
    • Provide continuing counsel and guidance on legal matters.
    • Select, retain and manage relationships and matters with outside counsels, as required.
    • Prepare and deliver training and presentations to the employees, management, executives and the Board of Directors on various legal and compliance matters.
    • Build, mentor, manage, and scale teams reporting to you.
    • As Snapcommerce’s first GC, you must feel comfortable with ambiguity and building out the legal and compliance functions and team.

About You

    • 12+ years practicing law with a combination of law firm and in-house experience.
    • J.D. from an accredited institution and admitted to practice law in California or New York.
    • Foundational training at a national law firm (preferably Am Law 200) and technology industry experience.
    • General Counsel with start-up experience preferred, but we will consider compelling Deputy General Counsel candidates from larger tech companies.
    • Experience leading companies through financing and M&A transactions; IPO experience would be a plus.
    • Public company and corporate experience are a must.
    • Proven experience building and leading teams in high-growth environments.
    • A strong track record of positive outcomes for those you have hired and managed in the past.
    • Advanced knowledge of trademark and copyright, advertising, privacy and data use issues will be beneficial in this role. 
    • Ability to learn quickly and able to lead teams in high-growth environments.
    • Excellent communication and project management skills.
    • Proven ability to develop positive and collaborative relationships with internal partners.
    • Excellent interpersonal, communication, analytical and influencing skills.
