ABOUT THE POSITION

Reporting to the Managing Director, Growth & Engagement, Legal Counsel will serve as a key organizational representative in brokering and negotiating partnerships that will serve revenue and growth goals while always keeping impact at the forefront. Legal Counsel will play a critical role in advancing EL Education’s strategic plan and related initiatives while also attending to risk management and best practices. A cross-functional leader, Legal Counsel will support the organization at all levels to navigate the evolving educational field and associated legal and policy context.

RESPONSIBILITIES

Specific responsibilities include the following as well as other duties as assigned:

Partnership & Growth Strategy

  • In collaboration with the Managing Director, Growth & Engagement, design and advance strategic growth initiatives related to sales and partnership strategy.
  • Draft and negotiate contracts to advance EL Education’s growth strategy across a variety of partnership types including: 1) school systems; 2) nonprofit and for-profit professional learning organizations; and 3) curriculum distribution partners, among others.
  • Monitor state curriculum adoption timelines, RFPs, and emerging policy and funding implications to inform state-level partnership and growth strategy.
  • Ensure proposals and grant agreements address organizational stances regarding intellectual property and other areas of legal consideration; support federal grant proposals and grant execution, ensuring compliance with all requirements.
  • Provide strategic advisement and thought-partnership Content & Growth team leaders regarding the intersectionality of business lines.
  • Consult with the larger Content & Growth team on issues of intellectual property related to product design, development, and use across multiple channels.
  • Build capacity across EL Education staff to advance strategic initiatives while attending to risk factors including designing and conducting training and drafting guidance in relevant topic areas (e.g. Intellectual Property primers, data privacy, etc.).

Policy and Legal Research & Communications

  • Stay abreast of key developments in policy and legal landscape impacting EL Education and its partners, particularly in intellectual property, data privacy, and federal funding matters.
  • Support the drafting and communication of organizational positions, staff communications and internal memos on relevant and timely topics impacting EL Education and its partners.

Risk Management

  • Work with the Senior Leadership Team to address areas of organizational risk and best practices for risk management and governance.
  • Serve as primary liaison with outside counsel across all areas of risk.
  • Audit and maintain library of templates across all organizational agreements and draft tools and resources as needed.

SKILLS & COMPETENCIES

An ideal candidate will have the following demonstrated skills and competencies:

  • A Juris Doctor with at least 5 years of legal practice.
  • Understanding of intellectual property matters required, including Creative Commons licensing.
  • Experience in corporate transactions, contracts and/or employment law issues preferred.
  • Commitment to educational equity and diversity, equity & inclusion required.
  • Experience with nonprofits or education organizations preferred, including pro bono or other volunteer capacity.
  • Awareness of the overall education market for high-quality instructional materials, aligned professional learning, and related products preferred.
  • Ability to work cross-functionally and across various stakeholders to build common ground and advance strategic initiatives.
  • Strong communication and collaboration skills required to support internal and external work.
